1. Grant of License

Upon full payment of all fees due under the Client Service Agreement, Frank Espinoza Portraiture LLC ("Photographer") hereby grants to [CLIENT NAME] ("Client") a limited, non-exclusive, non-transferable, personal use license ("License") for all photographs and images selected by the Client and delivered by the Photographer as final products (collectively, the "Licensed Images").

This License permits the Client to use the Licensed Images solely as described in this Print Release and Client License Agreement ("Agreement"). This License does not constitute a transfer of copyright or any ownership interest in the Licensed Images.

2. Permitted Uses

The Client may use the Licensed Images for the following personal, non-commercial purposes only:

2.1 Personal Printing

The Client may reproduce the Licensed Images by printing at any professional or consumer photo lab, printing service, or home printer for personal display purposes, including but not limited to:

- Prints for personal home display - Prints for gifting to family and friends for personal use - Personal photo albums and books - Personal holiday cards and announcements

2.2 Personal Digital Use

The Client may use the Licensed Images in the following digital formats for personal, non-commercial purposes:

- Display on personal social media accounts (Facebook, Instagram, Pinterest, etc.), provided that proper credit is given to Frank Espinoza Portraiture (e.g., "Photo by Frank Espinoza Portraiture" or tagging @frankespinozaportraiture) - Personal email and digital communications - Personal digital displays and screensavers - Personal cloud storage and backup

3. Prohibited Uses

The Client shall NOT use the Licensed Images in any of the following ways:

3.1 No Commercial Use

The Licensed Images shall not be used for any commercial purpose whatsoever without the prior written consent of the Photographer. Commercial use includes, but is not limited to:

- Advertisements or promotional materials for any business, product, or service - Editorial or journalistic publication - Stock photography or image licensing - Product packaging or merchandise - Corporate communications, brochures, or presentations - Any use intended to generate revenue or promote a commercial enterprise

3.2 No Alteration of Images

The Client shall not edit, alter, manipulate, filter, crop, or modify the Licensed Images in any way. This includes, but is not limited to:

- Applying filters (Instagram filters, Snapchat filters, AI filters, or any other digital filters) - Cropping or changing the aspect ratio - Adjusting color, contrast, saturation, or exposure - Adding text, graphics, overlays, stickers, or watermarks - Removing or altering the Photographer's watermark or metadata - Using AI tools or software to alter, enhance, or regenerate the Images

The Licensed Images are delivered as finished, professionally edited works of art. Any unauthorized alteration diminishes the integrity of the Photographer's creative work and constitutes a breach of this Agreement.

3.3 No Resale or Transfer

The Client shall not sell, sublicense, lease, rent, or otherwise transfer the Licensed Images or any rights under this License to any third party. The Client shall not upload the Licensed Images to any stock photography service, marketplace, or image licensing platform.

3.4 No Contest or Competition Entry

The Client shall not submit the Licensed Images to any photography contest, competition, exhibition, or award program. This right is reserved exclusively to the Photographer.

4. Copyright Ownership

All Licensed Images are and shall remain the exclusive intellectual property of Frank Espinoza Portraiture LLC. The Photographer retains full copyright ownership of all Licensed Images under the United States Copyright Act (17 U.S.C. § 101 et seq.) and applicable North Carolina and international copyright laws.

This License grants the Client a right to use the Licensed Images as described herein. It does not transfer any copyright, ownership, or proprietary interest in the Licensed Images to the Client.

5. Credit and Attribution

When sharing Licensed Images on social media or in any public forum, the Client agrees to credit Frank Espinoza Portraiture by:

- Including "Photo by Frank Espinoza Portraiture" in the caption or description, OR - Tagging @frankespinozaportraiture (or the Photographer's current handle on the applicable platform)

Failure to provide credit does not constitute a breach of this Agreement but is strongly encouraged and appreciated.

6. Term

This License is effective upon full payment and continues in perpetuity for the permitted uses described herein, unless terminated due to a breach of this Agreement.

7. Violation and Enforcement

7.1 Breach

Any use of the Licensed Images that exceeds or violates the terms of this License constitutes a breach of this Agreement and an infringement of the Photographer's copyright.

7.2 Remedies

In the event of a breach, the Photographer reserves the right to:

- Revoke this License immediately upon written notice - Demand the immediate removal and destruction of all unauthorized copies or uses of the Licensed Images - Seek injunctive relief to prevent further unauthorized use - Pursue statutory damages, actual damages, and lost profits under the United States Copyright Act - Recover reasonable attorneys' fees, court costs, and expenses incurred in enforcing this Agreement

7.3 Liquidated Damages

In the event the Client uses the Licensed Images for unauthorized commercial purposes, the Client agrees to pay liquidated damages in the amount of $5,000 per image per unauthorized use, in addition to any other remedies available to the Photographer. The parties agree that this amount represents a reasonable estimate of the damages that would result from unauthorized commercial use and is not a penalty.

7.4 Third-Party Infringement

If the Client becomes aware of any unauthorized use of the Licensed Images by a third party, the Client agrees to promptly notify the Photographer. The Client shall not authorize or permit any third party to use the Licensed Images in any manner that violates this Agreement.

8. Indemnification

The Client agrees to indemnify, defend, and hold harmless Frank Espinoza Portraiture LLC, its members, managers, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from the Client's use of the Licensed Images in violation of this Agreement or in any manner not authorized herein.

9. Limitation of Liability

The Photographer's total liability to the Client under this Agreement shall not exceed the total amount paid by the Client for the applicable package. In no event shall the Photographer be liable for indirect, incidental, consequential, special, or punitive damages.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of laws principles. Any dispute arising under this Agreement shall be resolved in accordance with the dispute resolution provisions set forth in the Client Service Agreement and the Photographer's Terms and Conditions.

11. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12. Entire Agreement

This Agreement, together with the Client Service Agreement, Model Release, and the Photographer's Terms and Conditions and Privacy Policy, constitutes the entire agreement between the parties regarding the Client's use of the Licensed Images and supersedes all prior agreements and understandings.
