Part A: Adult Model Release

Grant of Permission

I, [CLIENT NAME] ("Model"), hereby grant to Frank Espinoza Portraiture LLC and its owner, Frank Espinoza ("Photographer"), the irrevocable, perpetual, worldwide, royalty-free right and license to use, reproduce, publish, display, distribute, and create derivative works of any and all photographs, images, video recordings, and other visual media in which I appear that are captured during my portrait session(s) with the Photographer (collectively, the "Images"), for the following purposes:

- Portfolio display (print and digital) - Marketing and promotional materials - Social media content (including but not limited to Facebook, Instagram, Pinterest, TikTok, and any future platforms) - Website content - Advertising and commercial promotion of the Photographer's services - Print and digital publications - Photography competitions, exhibitions, and awards - Educational materials and presentations - Any other lawful promotional or commercial use by the Photographer

No Additional Compensation

I acknowledge and agree that the photography services provided under my Client Service Agreement constitute full and complete consideration for this Model Release. I am not entitled to any additional compensation, royalties, or payment for the Photographer's use of the Images as described herein, whether now or in the future.

Waiver of Claims

I hereby waive any right to inspect or approve the finished Images or any use thereof. I release and discharge the Photographer from any and all claims, demands, or causes of action that I may have or may hereafter acquire arising out of or in connection with the use of the Images, including but not limited to claims for defamation, invasion of privacy, right of publicity, or infringement of moral rights.

Representations

I represent and warrant that:

- I am at least eighteen (18) years of age - I have the full legal capacity to execute this Release - I have read this Release in its entirety and understand its contents - I am signing this Release voluntarily and without coercion

Right to Opt Out

I understand that I may opt out of the Photographer's use of my Images for marketing, advertising, portfolio, and promotional purposes by submitting a written request to the Photographer at the address or email listed above. An opt-out request must be submitted in writing (email is acceptable) and will take effect within thirty (30) days of receipt. Opting out does not affect any use of the Images that occurred prior to the effective date of the opt-out. The default, absent a written opt-out, is that permission is granted as described herein.

Governing Law and Venue

This Release shall be governed by and construed in accordance with the laws of the State of North Carolina. Any dispute arising under this Release shall be subject to the exclusive jurisdiction and venue of the courts of Wake County, North Carolina, or the binding arbitration provisions set forth in the Client Service Agreement.

Part B: Minor Model Release

*This section must be completed by a parent or legal guardian for any individual under the age of eighteen (18).*

Grant of Permission (Minor)

I, ________________________________________ ("Parent/Guardian"), am the parent or legal guardian of ________________________________________ ("Minor"), a minor child born on _______________________.

I hereby grant to Frank Espinoza Portraiture LLC and its owner, Frank Espinoza ("Photographer"), the irrevocable, perpetual, worldwide, royalty-free right and license to use, reproduce, publish, display, distribute, and create derivative works of any and all photographs, images, video recordings, and other visual media in which the Minor appears that are captured during portrait session(s) with the Photographer (collectively, the "Images"), for the following purposes:

No Additional Compensation (Minor)

I acknowledge and agree that the photography services provided under the Client Service Agreement constitute full and complete consideration for this Minor Model Release. Neither the Minor nor I am entitled to any additional compensation, royalties, or payment for the Photographer's use of the Images, whether now or in the future.

Parental/Guardian Authority

I represent and warrant that:

- I am the parent or legal guardian of the Minor named above - I have the legal authority to execute this Release on behalf of the Minor - I am at least eighteen (18) years of age - I have read this Release in its entirety and understand its contents - I am signing this Release voluntarily and without coercion - I consent to the Minor's participation in the portrait session and to the use of the Minor's Images as described herein

This consent is given in accordance with North Carolina law, including N.C. Gen. Stat. § 75-1.1.

Indemnification
